Terms of Service

TermIQ ("the Service") is provided by Nexioty Electronics Limited, a limited company incorporated in Hong Kong SAR, with registered address at Flat/RM 1019B, 10/F, Liven House, 61-63 King Yip Street, Kwun Tong, Kowloon, Hong Kong ("Nexioty", "we", "us"). By accessing or using the Service — including the VS Code extension, the CLI, and the Progressive Web App — you agree to these Terms. If you do not agree, do not use the Service.

TermIQ lets you monitor and control terminals running on your own computer from another device. Your computer does the work; TermIQ relays the session. Terminal content is end-to-end encrypted between your devices and we cannot read it. The Service comprises a VS Code extension, a CLI agent, and a Progressive Web App, plus the relay infrastructure that connects them.

You must be at least 16 years old to create an account and use the Service. To purchase a paid plan you must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. By registering you confirm that you meet these requirements. The Service is not directed to children, and we do not knowingly collect data from anyone under 16.

You agree to provide accurate information, keep your credentials secure, keep your details up to date, and accept responsibility for activity under your account. You may sign in with email and password or with Google OAuth; if you use Google sign-in, Google's terms also apply to that step.

TermIQ does not provide an AI model and does not run AI on your behalf. Any AI tool you use through TermIQ — for example Anthropic's Claude Code or Google's Gemini CLI — runs on your own machine, under your own account and credentials, and is governed by your own agreement with that provider. TermIQ only relays the end-to-end-encrypted terminal stream between your devices and cannot read your prompts, outputs, or files.

Because you operate these AI tools through your own accounts, you remain responsible for complying with their policies, including (as applicable) the Anthropic Usage Policy and Google's Generative AI Prohibited Use Policy. You agree not to use TermIQ to facilitate any activity those policies prohibit. Nexioty is not a party to, and is not responsible for, your relationship with any AI provider or the output those tools generate.

You agree not to use the Service to break the law; to transmit malware or malicious code; to gain unauthorized access to any system; to disrupt or overload the Service; to harvest others' data; or for any unlawful or infringing purpose. You are solely responsible for what you do on your own machine through the relay.

Because TermIQ is a content-blind relay, we cannot and do not monitor the content of your terminal sessions. We act on abuse based on reports, billing/account signals, and metadata we can lawfully see. To report abuse of the Service, email [email protected]. We may suspend or terminate accounts that violate these Terms or applicable law.

A free plan is available with limited features. Paid plans are billed monthly or annually in the currency shown at checkout; prices may change with reasonable prior notice. You may cancel at any time and retain access until the end of the paid period. Payments are processed by Stripe. Any refund or money-back terms are those presented at the point of sale and any rights you have under applicable consumer law are unaffected.

The Service and its software, including the VS Code extension and CLI, are owned by Nexioty and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the client software for your own personal or internal business use. You may not copy, modify, distribute, reverse-engineer, sublicense, sell, or rent the software, or remove proprietary notices, except to the extent the law permits despite this restriction. You keep ownership of your own content; you grant us only the limited rights needed to operate the relay.

The Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law. We do not warrant that it will be uninterrupted, error-free, or free of harmful components. To the maximum extent permitted by law, Nexioty is not liable for indirect, incidental, special, consequential, or punitive damages, and our total liability is limited to the amount you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory consumer rights.

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the courts of Hong Kong. If you are a consumer in the EU/EEA or the UK, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may also be entitled to bring proceedings there.

We may update these Terms; we will post the new version here, update the "Last updated" date, and give notice of material changes. Continued use after changes take effect means you accept the updated Terms. Questions about these Terms: [email protected].
